Transcational Paralegal
Our client, a highly regarded law firm, is seeking an experienced Transactional Paralegal for a contract-to-hire opportunity. This role will support attorneys in the formation, management, and ongoing administration of private investment funds, including private equity, hedge funds, venture capital funds, and other alternative investment vehicles.
The ideal candidate will have strong experience with fund formation, regulatory filings, investor documentation, and corporate governance matters, along with the ability to manage multiple deadlines in a fast-paced legal environment.
Key Responsibilities
- Assist attorneys with the formation and ongoing maintenance of private investment funds, including private equity, venture capital, hedge funds, and real estate funds.
- Prepare, organize, and manage fund formation documents, subscription agreements, investor questionnaires, side letters, and closing binders.
- Coordinate fund closings and investor onboarding processes.
- Maintain corporate records, entity formation documents, and governance materials for funds and management companies.
- Support preparation and filing of regulatory documents and state filings.
- Track investor commitments, capital contributions, distributions, and related documentation.
- Conduct legal and corporate research related to fund structures and regulatory requirements.
- Coordinate with clients, investors, opposing counsel, fund administrators, and service providers.
- Manage document databases, deal rooms, and electronic file organization.
- Assist with due diligence reviews and compliance-related projects.
Qualifications
- Bachelor’s degree and/or ABA-approved Paralegal Certificate preferred.
- 3+ years of investment funds, private equity, hedge fund, or corporate transactional paralegal experience.
- Experience supporting fund formation and private investment fund matters within a law firm environment.
- Strong understanding of partnership, LLC, and corporate entity structures.
- Experience with investor subscription documentation and fund closings.
- Advanced proficiency with Microsoft Office Suite, including Word, Excel, and Outlook.
- Exceptional organizational skills with strong attention to detail.
- Ability to manage multiple priorities and work effectively under tight deadlines.
- Excellent written and verbal communication skills.
Preferred Experience
- Experience supporting private equity, venture capital, hedge fund, or alternative investment fund practices.
- Familiarity with fund administration processes and investor relations documentation.
- Exposure to securities filings, compliance matters, and regulatory reporting.
- Experience using document management systems and virtual data rooms.
