Our client is a growing boutique business law firm with a national footprint and a sophisticated transactional practice. The firm advises entrepreneurs, private funds, real estate sponsors, investment groups, and middle-market companies on a wide range of corporate transactions, securities offerings, mergers and acquisitions, and regulatory compliance matters.

The firm is seeking a highly organized and detail-oriented Corporate Paralegal to support a busy corporate and securities practice. This role offers the opportunity to work directly with attorneys on a high volume of private securities offerings and corporate transactions. The position will begin on a contract basis with the potential to convert to a permanent role based on performance and business needs.

The Corporate Paralegal will play a critical role supporting private placement and general corporate matters, with a particular focus on securities compliance, including Form D filings, Blue Sky filings, and related regulatory requirements for unregistered securities offerings. The ideal candidate has experience working in a law firm, fund administration, investment management, or corporate legal environment and can independently manage multiple matters in a fast-paced setting.

Responsibilities

  • Prepare, review, file, and track SEC Form D filings for private securities offerings.
  • Manage and coordinate state Blue Sky notice filings, renewals, amendments, and related compliance requirements.
  • Track filing deadlines and regulatory obligations across multiple jurisdictions.
  • Maintain offering and transaction records, capitalization tables, and corporate governance documents.
  • Assist attorneys with private placements under Regulation D and other exempt offering structures.
  • Support entity formation, qualification, dissolution, and annual compliance filings.
  • Prepare corporate resolutions, consents, organizational documents, and secretary of state filings.
  • Coordinate execution and management of transaction documents.
  • Conduct legal and regulatory research related to securities and corporate matters.
  • Organize virtual data rooms and manage closing deliverables.
  • Communicate with clients, regulators, filing agents, and third-party service providers.
  • Assist with mergers and acquisitions, venture capital transactions, private equity investments, and other corporate transactions as needed.

Qualifications

  • Paralegal certificate and/or bachelor’s degree preferred.
  • 3+ years of corporate paralegal experience, preferably within a law firm environment.
  • Demonstrated experience handling Form D filings and Blue Sky compliance filings.
  • Strong understanding of private securities offerings, Regulation D exemptions, and corporate governance concepts.
  • Experience supporting transactional attorneys on corporate and securities matters.
  • Proficiency with Microsoft Office Suite and legal document management systems.
  • Exceptional organizational skills and attention to detail.
  • Ability to manage competing priorities and meet deadlines in a fast-paced practice.

Preferred Qualifications

  • Experience supporting real estate syndications, private funds, venture capital transactions, private equity transactions, or other alternative investment offerings.
  • Familiarity with multi-state securities compliance requirements.
  • Experience managing high volumes of securities offerings and investor-related documentation.
  • Prior experience in a growing boutique or entrepreneurial law firm environment.
