Corporate Counsel (Technology Transactions – FULL REMOTE)
Position Overview
The Interim Corporate Counsel will take ownership of the company’s day-to-day commercial contracting needs, partnering closely with a dynamic and demanding commercial team.
The role will involve drafting, reviewing, and negotiating a broad range of commercial agreements, including standard SaaS agreements as well as agreements presented by customers. The successful candidate will regularly negotiate agreements with large and sophisticated enterprise customers and will be expected to participate directly in contract negotiation calls when required.
Data privacy considerations are a significant aspect of the role and arise in the majority of commercial negotiations. As such, the successful candidate should be comfortable advising on privacy-related provisions, negotiating Data Processing Agreements (DPAs), and providing guidance on GDPR-related matters in support of the company’s international business operations.
This is a hands-on opportunity for an attorney who can independently manage a commercial contracting function, provide practical and timely legal support to the business, and adapt to evolving commercial requirements and contractual positions.
Key Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including SaaS agreements, MSAs, DPAs, and NDAs.
- Partner closely with the commercial team to support new and existing customer relationships.
- Participate directly in contract negotiation discussions with prospective customers.
- Provide practical, commercially focused legal advice throughout the contracting lifecycle.
- Review and negotiate data privacy and security provisions within commercial agreements.
- Draft and negotiate DPAs and advise on GDPR-related requirements.
- Manage a high-volume, fast-paced contracting workload while providing responsive support to the business.
- Independently take ownership of commercial contracting matters and ensure continuity within the legal function.
Qualifications & Experience
- Juris Doctor (JD) degree required and active membership in good standing with at least one U.S. state bar.
- 5+ years of relevant commercial legal experience.
- Significant experience drafting and negotiating commercial technology agreements.
- Strong background negotiating SaaS agreements, MSAs, DPAs, and NDAs.
- Working knowledge of data privacy and data protection matters, including GDPR.
- Prior in-house experience within a technology company preferred, though specific industry experience is not required.
- Comfortable supporting a fast-paced commercial organization with demanding turnaround expectations.
- Ability to adapt to changing priorities, commercial requirements, and negotiation strategies.
- Pragmatic, business-oriented approach with the ability to balance legal risk and commercial objectives.
- Self-sufficient and capable of independently managing day-to-day commercial contracting responsibilities.
